Soffi provides AI-native product development tools and services designed to streamline and enhance the software development process. Our Services may include but are not limited to:

3. User Accounts and Registration

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes. This license does not include:

  • Resale or commercial use of the Services or content
  • Collection or use of product listings or descriptions
  • Making derivative works of the Services
  • Downloading or copying of account information

6. User Content

Our Services may allow you to submit, upload, or otherwise make available content, including but not limited to code, text, data, and files ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us:

  • A worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content as necessary to provide the Services
  • The right to use anonymized and aggregated data derived from your User Content for analytical and improvement purposes

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms and applicable laws

10. Disclaimers and Limitation of Liability

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any defects will be corrected

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOFFI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Soffi and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, for any reason including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • At your request

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions.
